Business Judgement Rule

Decision makers in a company make a large number of decisions every day. Each of these decisions could be up for evaluation in hindsight. It is up to the decision maker to prove that he was not guided by extraneous interests, that he made the decision on the basis of adequate information and that he could assume that he acted in the best interest of the company. In this respect, the information basis is particularly significant.
